1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the Regulatio software-as-a-service platform (the "Service") operated by Regulatio Tech ("Regulatio," "we," "us," or "our").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of the legal entity you represent ("Customer," "you").

If you do not agree, you may not use the Service.

3. Description of the Service

Regulatio is a Compliance-as-a-Service (CaaS) platform designed to support organizations in assessing the alignment of their artificial intelligence systems, governance practices, and documentation with the EU AI Act and related compliance frameworks.

Important Clarifications

• Regulatio is not an official conformity assessment body.
• Regulatio does not certify compliance or guarantee regulatory approval.
• All outputs are automated, probabilistic, and decision-support only.
• Final compliance decisions and regulatory responsibility remain solely with the Customer.

Regulatio may offer optional access to human experts. Any such engagement is advisory only and does not constitute legal, regulatory, or audit services.

4. Eligibility and Authorized Use

The Service is offered exclusively to business customers (B2B).

By using the Service, you represent and warrant that:

• You act on behalf of a legal entity
• You have the authority to bind that entity.
• All information provided is accurate and complete.

Consumer use is expressly excluded.

5. Account Registration and Security

• Accounts must be registered using verified company credentials.
• Single Sign-On (SSO) may be supported.
• Users are responsible for safeguarding login credentials.
• Regulatio may access accounts solely for:
  • Security
  • Incident response
  • Legal compliance
  • Customer support

You must notify us immediately of any unauthorized access.

6. Free Trials

Regulatio may offer free trials lasting 7-14 days.

Free trials may be withdrawn or modified at any time without obligation.

7. Fees, Billing, and Payment

Pricing Model

• Subscription-based, with potential usage-based components for administrators
• Monthly or annual billing, with discounts for annual plans

Auto-Renewal

Subscriptions automatically renew unless cancelled prior to renewal.

Currency and Taxes

• Pricing may be offered in EUR or USD
• All prices include applicable taxes unless stated otherwise.

Late Payments

If payment is overdue by more than fourteen (14) days, Regulatio may suspend access until payment is received.

Pricing Changes

Regulatio may change pricing with thirty (30) days' notice, effective at the next renewal.

No refunds are provided unless required by mandatory law.

8. Intellectual Property

Platform IP

All intellectual property rights in the Service belong exclusively to Regulatio Tech.

Customer Content

Customers retain ownership of all documentation and content uploaded to the Service.

Licenses

Customer to Regulatio: Customer grants Regulatio a non-exclusive, royalty-free license to process uploaded content solely to provide the Service.

Regulatio to Customer: Regulatio grants a limited, non-exclusive, non-transferable license to use Service outputs for internal compliance purposes.

Restrictions

You may not:

• Reverse engineer the Service
• Scrape or extract data
• Resell or sublicense outputs
• Use the Service to build a competing product

9. Data Protection and Privacy

Regulatio processes personal data in accordance with its Privacy Policy, which forms part of these Terms.

10. Acceptable Use

You agree not to:

• Upload unlawful or misleading content
• Use the Service to evade regulations
• Misrepresent outputs as certification
• Interfere with platform security or integrity

Regulatio may suspend or terminate access for violations.

11. AI-Specific Disclaimers

• Outputs are generated using automated systems.
• Results may be incomplete or inaccurate.
• No automated legal or regulatory decisions are made.
• Human review is required before reliance.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available."

Regulatio disclaims all warranties, express or implied, including fitness for a particular purpose.

13. Limitation of Liability

To the maximum extent permitted by law:

• Regulatio's total liability is limited to fees paid in the preceding twelve (12) months
• Indirect, incidental, or consequential damages are excluded.

14. Indemnification

Customer agrees to indemnify Regulatio against claims arising from:

• Misuse of the Service
• Inaccurate documentation
• Regulatory breaches caused by Customer actions

15. Termination

Either party may terminate for material breach.

Upon termination:

• Access ceases
• Data is handled per the Privacy Policy.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Serbia.

Courts of Serbia shall have exclusive jurisdiction.

17. Changes to These Terms

Material changes will be notified at least 30 days in advance. Continued use constitutes acceptance.
